Position Summary

The Vice President, Senior Deputy General Counsel oversees the provision of legal services for City of Hope’s intellectual property and commercialization matters across the City of Hope national system (“System”). The VP oversees a team that advises on legal issues regarding the development, maintenance and protection of City of Hope’s intellectual property and strategy to develop and commercialize intellectual property assets. The VP serves as a trusted thought partner to other leaders across the enterprise, collaborating to anticipate, manage and mitigate risk for an agile, diverse and innovative system. The VP and team serve as key strategic partners for leaders over our technology transfer and digital operations. This role reports to the General Counsel.

Key Responsibilities include:

BUILD A HIGH-PERFORMANCE TEAM

  • Builds and leads a high-impact and high-performance legal team to serve City of Hope’s business operations.
  • Enables long-term development of legal personnel, creating the next generation of diverse legal leadership and talent pool for City of Hope

MANAGE A BROAD RANGE OF LEGAL SERVICES

  • Maintains an expert knowledge of laws, rules, and regulations (federal, state and other relevant jurisdictions) applicable to intellectual property and commercialization transactions.
  • Manages or serves as a key legal advisor for legal issues relating to intellectual property and commercialization activities, including intellectual property protection and commercialization strategies.
  • Oversees drafting and negotiation of intellectual property and technology transaction agreements, including licenses (in-licenses and out-licenses), software and SaaS agreements, manufacturing agreements, research and clinical trial agreements, material transfer agreements and other agreements implicating intellectual property.
  • Advises on legal matters implicating intellectual property in support of future and current partnerships and alliances.
  • Directs enforcement efforts relating to City of Hope’s intellectual property rights.
  • Oversees management of City of Hope’s global trademark, patent, copyright and domain name portfolios.
  • Supervises outside counsel retained to advise on relevant matters.

SERVE AS A TRUSTED ADVISOR

  • Provides timely and practical advice on strategic legal and business matters relating to intellectual property and commercialization to business leaders.
  • Collaborates with senior leaders across business operations to proactively identify and address legal issues resulting from strategic and operational priorities.
  • Effectively communicates about legal risks and mitigation strategies.
  • Proactively scans environment internally and externally, and partners with senior leadership, to identify and anticipate impact of a changing environment and effectively develop strategic legal plans to address significant business risks.

Basic education, experience and skills required for consideration:

  • JD from an ABA-accredited US law school
  • 15 years of recent, relevant and broad legal experience, as well as significant advice and counsel experience in a major law firm or in-house setting and experience leading and managing teams and managing outside counsel

Preferred education experience and skills:

  • Advanced degree in scientifically relevant field.
  • Experience handling full range of intellectual property, patent prosecution and biotech experience.
